1. Services Provided
Vestra Link offers Google Reviews management services, including but not limited to:
Automating Google reviews on your behalf.Managing and optimising your Google Business Profile. Providing reporting and insights regarding your online reputation.
2. Account Registration
To use our Service, you must create an account with us by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account login credentials and are liable for any activities that occur under your account, whether authorised or not. You agree to notify us immediately of any unauthorised use of your account.
3. Client Responsibilities
As a Client, you agree to:
Provide accurate and up-to-date information required for the Service, including access to your Google Business Profile if applicable. Ensure that all actions performed by us on your behalf comply with Google’s terms and conditions and policies. Use the Service only for lawful purposes and in accordance with applicable laws and regulations. Not engage in any activity that could harm the reputation or integrity of Vestra Link or Google’s review system.
4. Payment Terms
Subscription Fees: If you have subscribed to a paid plan, you agree to pay the applicable subscription fees once the 14 day free trial is over in accordance with the payment schedule. Payment Methods: Payments will be processed through our designated payment processor. By providing your payment details, you authorise us to charge the payment method for the fees associated with the Service. Late Payments: If payment is not received within the specified time frame, we reserve the right to suspend or terminate access to the Service until payment is made.
5. Service Availability and Limitations
We aim to provide continuous, uninterrupted access to the Service; however, we do not guarantee that the Service will always be available without interruptions. The Service may be temporarily suspended for maintenance, updates, or due to circumstances beyond our control.
We are not liable for any damages or disruptions caused by circumstances beyond our control, including outages, server issues, or technical failures.
6. Confidentiality
We agree to maintain the confidentiality of any sensitive information you provide to us in the course of providing our Service. We will not disclose your confidential information to third parties unless required by law or authorised by you.
7. Client Data
We respect your ownership of the data associated with your Google Business Profile and customer reviews. However, you grant Vestra Link a non-exclusive, worldwide, royalty-free license to access, process, and use this data solely for the purpose of delivering the Service.
We will not sell, rent, or share your data with third parties, except as necessary to provide the Service or as required by law.
8. Prohibited Uses
You agree not to:
Violate any laws, regulations, or third-party rights, including Google’s Terms of Service. Use the Service to engage in fraudulent, misleading, or harmful activities. Use automated tools or systems to manipulate or artificially inflate your reviews or ratings. Access, interfere with, or disrupt any part of our Service or the systems related to our Service.
9. Termination
Either party may terminate this Agreement at any time. If you decide to terminate the Agreement this can be done via email at [email protected] . Upon termination, we will stop providing the Service, and you will be responsible for any outstanding fees. We may also suspend or terminate your account if you breach these Terms or engage in illegal activities.
Upon termination, we may delete or anonymise your account and any associated data, in accordance with applicable data retention policies.
10. Limitation of Liability
To the fullest extent permitted by law, Vestra Link shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, revenue, or data arising from or related to the use or inability to use the Service, even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless Vestra Link and its employees, affiliates, agents, and partners from any and all claims, liabilities, damages, and expenses (including reasonable solicitor fees) arising out of or related to your use of the Service, your breach of these Terms, or your violation of any laws or third-party rights.
12. Changes to These Terms
We reserve the right to modify, update, or change these Terms at any time. Any changes will be posted on our website, and the revised Terms will take effect immediately upon posting. It is your responsibility to review these Terms regularly. Continued use of the Service after changes to these Terms indicates your acceptance of the updated Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the country in which Vestra Link is incorporated, without regard to its conflict of law principles.
Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in England, unless otherwise agreed by the parties. You and Vestra Link
agree to resolve any disputes on an individual basis and not as part of a class action or similar proceeding.
14. Severability
If any provision of these Terms are found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
